DORSIUM TERMS OF SERVICE
GENERAL TERMS AND CONDITIONS (TOS)

1. IDENTIFICATION OF THE PARTIES
These Terms of Service (“TOS”) are entered into between:

2. DEFINITIONS
- Platform: The Dorsium software platform, blockchain network, and related services.
- User: Any individual or legal entity accessing or using the Platform.
- Mining / Validation: Technical participation in network operations.
- dPOINT: Internal non-transferable tracking points with no monetary value.
- PAL (Platform Access License): A digital credential granting access and technical multipliers.
- Testnet: Experimental pre-release environment.
- Mainnet: The public release of the Dorsium blockchain.
- Hardware Contribution: Cost contribution for provisioning validation equipment.
3. SCOPE OF SERVICES
The Operator provides access to a blockchain-based technical platform including:
- Testnet and Mainnet participation tools
- Validation software
- Internal scoring systems (dPOINT)
- Platform Access Licenses (PAL)
- Optional hardware provisioning
The Platform is provided "as is" and may be modified, suspended, or terminated at any time.
4. USER ACCOUNT AND REGISTRATION
Users must:
- Provide accurate information
- Be at least 18 years old
- Maintain security of credentials
The Operator may suspend or terminate accounts for violations.
5. LICENSE AND INTELLECTUAL PROPERTY
Users receive a limited, non-exclusive, non-transferable, revocable license to use the Platform.
No ownership rights are transferred.
6. FEES AND PAYMENTS
Certain services may require payment, including:
- Hardware provisioning
- Premium PAL licenses
- Enterprise services
Payments are non-refundable unless explicitly stated otherwise.
7. SERVICE LEVELS AND SUPPORT
Basic users receive best-effort support with no guarantees.
Premium users may receive SLA guarantees under a separate SLA document.
8. TESTNET AND EXPERIMENTAL FEATURES
Testnet services are experimental and may be unstable. No guarantees are provided regarding uptime, rewards, or data retention.
9. NON-INVESTMENT DISCLAIMER
The Platform, dPOINT, PAL, and any future tokens:
- Do not represent financial investments
- Do not guarantee profit, yield, or liquidity
- Are not securities or financial instruments
10. RISK DISCLOSURE
Users acknowledge risks including:
- Technological failures
- Regulatory changes
- Market volatility
- Data loss
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- The Operator shall not be liable for indirect or consequential damages
- Total liability is limited to the amount paid by the User in the last 12 months
- Testnet participation liability is zero
12. TERMINATION
Users may terminate use at any time. The Operator may terminate for violations, legal compliance, or operational reasons.
13. DATA PROTECTION
Personal data is processed according to GDPR and the Privacy Policy.
14. GOVERNING LAW AND DISPUTE RESOLUTION
This TOS is governed by the laws of Romania.
Disputes shall be resolved by:
- Mediation
- Arbitration
The arbitration decision shall be final and binding, except where mandatory consumer protection law requires otherwise.
15. ELECTRONIC ACCEPTANCE
Acceptance of this TOS may be executed electronically by:
- Checkbox confirmation
- Digital signature
- Continued use of the Platform
Electronic acceptance has the same legal effect as a handwritten signature.
16. MODIFICATIONS
The Operator may modify this TOS with 14 days’ notice. Continued use constitutes acceptance.
17. MISCELLANEOUS
If any clause is invalid, the remainder remains valid. This TOS constitutes the entire agreement unless otherwise stated in writing.
18. GLOBAL REGULATORY DISCLAIMER
The Platform is a software technology platform. Nothing provided by the Operator constitutes:
- An offer or solicitation to buy or sell any financial instrument or security
- An investment product or investment advice
- A promise of profit, yield, or appreciation
Any reference to tokens, rewards, dPOINT, PAL, or future network assets is strictly related to technical utility and network participation.
NO SECURITIES OFFERING
No token or digital asset offered or referenced by the Platform is intended to constitute a security, financial instrument, or investment contract under any applicable laws, including but not limited to:
- Regulation (EU) 2023/1114 (MiCA)
- U.S. Securities Act of 1933
- U.S. Securities Exchange Act of 1934
- Howey Test jurisprudence
NO US PERSONS OFFERING
The Platform is not directed to, and not intended for use by, U.S. Persons as defined in Regulation S of the U.S. Securities Act, unless explicitly permitted by the Operator.
The Operator may restrict access from certain jurisdictions to comply with applicable laws.
NO EXPECTATION OF PROFIT
Users acknowledge that:
- participation does not create any expectation of profit
- any future token may have no value, liquidity, or market
- rewards depend on technical participation and may be modified or discontinued
REGULATORY CHANGE DISCLAIMER
The legal framework for blockchain, digital assets, and decentralized networks is evolving and may affect the Platform. The Operator may modify or discontinue services to comply with regulatory requirements.
19. TOKEN CLASSIFICATION DISCLAIMER
dPOINT is not a token and is not intended to be a token. It is a simple internal scoring system, measuring the degree of involvement of a participating User in the experimental Alpha Network phase of the Dorsium project.
Any future DORS token, if issued, is intended to function as a utility token providing access to network functionality.
The token is not intended to represent:
- equity or ownership rights
- voting rights in a legal entity
- profit-sharing rights
- debt or claim against the Operator
Token issuance, if any, may be subject to additional terms, conditions, and regulatory compliance requirements.
20. JURISDICTION RESTRICTIONS
The Platform may not be available in certain jurisdictions due to regulatory restrictions.
Users are responsible for ensuring compliance with local laws.
The Operator reserves the right to:
- restrict or block access from certain countries
- require additional compliance checks
- terminate access to comply with regulatory obligations
